The reason to re-roll is

Everything Up North posted is true, but just to clarify in case the OP didn't know, the OTHER reason to upgrade (and the original, main purpose of the upgrade system) would be if you were still in possession of an exotic that dropped prior to The Dark Below, to bring its attack value/light up to post-TDB levels.

Exotic weapons, for example, had 300 attack value prior to TDB, and 331 after. Light on armor also increased. You use Xur's upgrades to convert an item to the new stats.

Just clarifying because I don't know exactly how much info the OP is lacking.
